These Terms & Conditions ("Terms") govern your use of FlintAlgo (the "Software") and the website at flintalgo.com (the "Site"), operated by Samuel Rosa de Oliveira ("we", "us"). By purchasing, downloading, installing, or using FlintAlgo, you agree to these Terms.

FlintAlgo is a software tool for backtesting and analysis only. It is not financial, investment, or trading advice, and it does not execute trades, connect to brokerage accounts to place orders, or hold any funds. Backtested and simulated results do not guarantee future performance.

1. Purchases and Merchant of Record

Orders, billing, payment processing, and applicable sales tax/VAT are handled by our authorized reseller and Merchant of Record, Paddle.com. Paddle is the seller of record for your purchase; their buyer terms also apply to the transaction.

2. License

Subject to these Terms and an active subscription, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use one copy of FlintAlgo. The license is node-locked (bound to a single machine) and activated offline with a license key. You may not share, resell, sublicense, or distribute your license key or the Software.

3. Subscription and renewal

FlintAlgo is sold as a recurring subscription. Your subscription renews automatically at the end of each billing period until cancelled; each renewal issues a fresh license key by email. You can cancel at any time, and your access continues until the end of the current paid period. Fees are stated at checkout in USD.

4. Acceptable use

You agree not to: (a) copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the Software except as permitted by law; (b) circumvent the license or activation mechanism; (c) share or resell your license key; or (d) use the Software for any unlawful purpose.

5. No financial advice; assumption of risk

FlintAlgo is provided for informational, research, and educational purposes only. Nothing produced by the Software constitutes financial, investment, tax, or legal advice or a recommendation to buy or sell any instrument. Historical and simulated ("paper-trading") results are hypothetical and do not guarantee future results. You assume all risk and responsibility for any decisions made using the Software.

6. Intellectual property

FlintAlgo, the Site, and all related content are owned by Samuel Rosa de Oliveira and protected by applicable laws. These Terms grant you a license to use the Software, not ownership of it.

7. Disclaimer of warranties

The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any trading or investment losses, or for any indirect, incidental, special, or consequential damages arising from your use of the Software. Our total aggregate liability is limited to the amount you paid for the Software for the single billing month in effect when the claim arose; for subscriptions prepaid for a longer term, this is the amount attributable to that one month, not the full prepaid term.

9. Termination

We may suspend or terminate your license if you breach these Terms. You may stop using the Software and cancel your subscription at any time. Sections 5–8 survive termination.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above; continued use after changes constitutes acceptance.

11. Governing law

These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules. Mandatory consumer-protection rights in your country of residence are not affected.

12. Copyright and enforcement

Samuel Rosa de Oliveira owns all copyright and other intellectual-property rights in FlintAlgo, including its source code, design, and original content such as the FlintAlgo name, logo, and the text and graphics created for this Site. The Software is licensed, not sold, and is protected by Brazilian and international copyright laws and treaties. Any unauthorized copying, reproduction, distribution, public display, modification, reverse-engineering, or other infringement is strictly prohibited and may result in civil liability and criminal penalties under applicable law, in addition to termination of your license.
